WAVEE – TERMS OF SERVICE

These Terms of Service (“Terms”) govern your access to and use of the Wavee and Wavee Pets platforms, mobile applications, web portals, concierge systems, and related services (together, the “Services”), operated by Wave Ai Ltd(“Wavee”, “we”, “us”, or “our”).

By accessing or using any part of the Services, you agree to be legally bound by these Terms. If you do not agree, you must not use the Services.

These Terms must be read together with our:

  • Privacy Policy
  • Cookie Policy
  • Acceptable Use Policy
  • End User Licence Agreement (EULA)
  • Data Retention Policy
  • Refund & Cancellation Policy
  • Business Portal Terms (for business users)

1. Who We Are

Wavee is a digital engagement and communications platform that connects:

  • Residents
  • Concierge teams
  • Building management
  • Local businesses
  • Pet owners and service providers

Wavee is operated by Wave Ai Ltd, a company registered in the United Kingdom.

2. Eligibility

You must:

  • Be at least 16 years of age
  • Have legal capacity to enter into binding agreements
  • Be an authorised resident, concierge, business user, pet owner, or service provider

Use of the Services by anyone under 16 is prohibited.

3. Account Creation, Onboarding & Building Responsibility

Resident Accounts

Accounts may be:

  • Created directly by concierge/building teams; or
  • Created by residents and approved by concierge/building teams.

Wavee does not independently verify:

  • Residency
  • Tenancy
  • Legal occupation
  • Identity

Building Responsibility

Each building operator is solely responsible for:

  • Resident approvals and removals
  • Accuracy of resident and staff data
  • Staff access control
  • Removal of vacated residents and departing staff
  • Internal regulatory compliance

Wavee is not responsible for incorrect approvals, delayed removals, staff misuse, or inaccurate building data.

4. User Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activity under your account
  • Ensuring information provided is accurate and up to date
  • Reporting unauthorised access

Wavee may suspend or terminate any account used fraudulently or in breach of these Terms.

5. Acceptable Use

You must not use the Services to:

  • Post abusive, unlawful, misleading, or harmful content
  • Harass, threaten, or intimidate others
  • Attempt unauthorised access to accounts or systems
  • Upload malware or automated tools
  • Commit fraud or illegal activity

Enforcement is governed by the Acceptable Use Policy.

6. User Content & Community Areas

Wavee provides publishing and communication tools only.

  • All content is created by users, businesses, or building teams
  • Wavee does not pre-approve or verify content
  • Wavee is not liable for the legality, accuracy, or consequences of user content

7. Business Listings, Advertising & Promotions

Businesses using the Business Portal must:

  • Provide accurate and lawful information
  • Honour all advertised offers
  • Comply with all consumer protection, advertising, and regulatory laws
  • Hold appropriate licences and insurance

Wavee is not a party to any resident–business contract and accepts no liability for business performance or service outcomes.

8. Transactions, Bookings & Business Services

Wavee provides a technology platform enabling residents to discover, communicate with, and transact with independent third-party businesses.

Wavee is not the seller, merchant, supplier, service provider, agent, or distributor of any goods or services offered on the platform. All contracts are formed directly between the resident and the relevant business.

Where the platform enables:

  • Online payments
  • Click & collect
  • Bookings or reservations
  • Service requests
  • Promotions or offers

the business remains solely responsible for:

  • Pricing accuracy
  • Stock availability
  • Fulfilment and service delivery
  • Refunds and returns
  • Cancellations and no-shows
  • Consumer complaints
  • Tax and VAT compliance
  • Regulatory compliance

Wavee does not guarantee the quality, legality, safety, or availability of any business goods or services.

9. Payment Disputes & Refund Hierarchy

In the event of a dispute:

  1. The resident must first contact the business directly.
  2. The business is responsible for refunds, cancellations, and compensation.
  3. Only if unresolved may Wavee review the matter strictly as a platform facilitator, without liability.

Wavee may suspend or restrict business accounts where repeated disputes, chargebacks, or consumer harm occur.

10. Fees & Subscriptions

  • Wavee is generally free for residents and buildings
  • Businesses may pay subscriptions and advertising fees
  • Paid features are billed as disclosed at the point of purchase
  • Fees are non-refundable unless stated otherwise in the Refund Policy

11. Intellectual Property

All software, branding, and platform content belong to Wavee or its licensors.

Users retain ownership of their content but grant Wavee a worldwide, royalty-free licence to display and distribute that content for platform operation.

12. Data Protection & Privacy

All personal data is processed in accordance with:

  • The Privacy Policy
  • The Data Retention Policy
  • UK GDPR and Data Protection Act 2018

13. Security & Access Control

Portal users must:

  • Maintain strong passwords
  • Use Two-Factor Authentication where available
  • Never share credentials

Buildings are solely responsible for staff access control.
Wavee is not liable for losses caused by internal access failures.

14. Suspension & Termination

Wavee may suspend or terminate access where:

  • These Terms are breached
  • Illegal activity is suspected
  • Platform security is at risk
  • Required by law

Termination does not affect accrued legal rights.

15. Platform Availability

Wavee is provided “as is” and “as available.”
Continuous uninterrupted access is not guaranteed.

16. Limitation of Liability

To the maximum extent permitted by law, Wavee is not liable for:

  • Indirect or consequential losses
  • Loss of profits, data, business, or reputation
  • Business disputes or failed transactions
  • Building access failures
  • Third-party service failures
  • Platform outages

17. Indemnity

You agree to indemnify Wavee against any claim arising from:

  • Your use of the platform
  • Your content
  • Your business activities
  • Breach of law or these Terms

18. Third-Party Systems & Integrations

Wavee is not responsible for external systems, including:

  • Payment providers
  • Property management systems
  • Access control systems
  • Third-party APIs

19. Force Majeure

Wavee is not liable for delay or failure caused by events beyond reasonable control, including natural disasters, war, network failure, cloud outages, or government action.

20. Assignment

Wavee may assign or transfer these Terms in connection with any merger, acquisition, restructuring, or sale of assets.

21. Severability

If any provision is held invalid, the remaining provisions remain enforceable.

22. No Waiver

Failure to enforce any right is not a waiver of that right.

23. Governing Law & Jurisdiction

These Terms are governed by the laws of England and Wales.
The courts of England and Wales have exclusive jurisdiction.

25. Business Portal Terms Supremacy

All businesses are additionally bound by the Wavee Business Portal Terms & Conditions. In the event of conflict, the Business Portal Terms prevail for business users.
